Zaxonite Systems Ltd is a company registered in England and Wales under company number 17388723.

Zaxonite Systems Ltd develops and operates Zaxonite IQ, an identity risk intelligence and digital due-diligence decision-support platform.

2. Business use

Zaxonite IQ is intended primarily for organisations, professionals and individuals acting for business or professional purposes.

If applicable law gives a user rights that cannot lawfully be excluded or restricted by these Terms, those rights remain unaffected.

3. The Zaxonite IQ service

Zaxonite IQ allows authorised users to submit defined identity-related information and obtain a structured assessment based on available digital evidence.

Depending on the information supplied, the service may analyse evidence associated with names, email addresses, LinkedIn information supplied by the user, public GitHub information, telephone numbers, websites, domains, DNS and domain-registration information and other supported evidence.

The service may produce outputs including a Trust Score, Risk Level, Evidence Confidence, supporting findings, Critical Alerts & Next Steps and other decision-support guidance.

Features and supported evidence sources may change as the service is maintained and developed.

4. Decision-support limitations

Zaxonite IQ is a decision-support service.

An assessment does not prove or certify a person's identity, legitimacy, suitability, honesty, criminality or wrongdoing.

Assessment results reflect the information available to the service at the time of processing and may be affected by incomplete, inaccurate, outdated, unavailable or conflicting information.

Customers must apply appropriate human judgement to assessment results.

Zaxonite IQ must not be used as the sole basis for an employment, engagement or other decision producing legal or similarly significant effects on an individual.

Customers remain responsible for decisions they make using information produced by the service.

5. Customer responsibilities

Customers and authorised users must:

• provide information they are entitled to submit and process;
• use Zaxonite IQ only for lawful and legitimate professional purposes;
• ensure that an appropriate lawful basis and any required transparency measures are in place when personal information is submitted for an assessment;
• review assessment results using appropriate human judgement;
• keep account credentials secure;
• ensure that only authorised persons access their account;
• comply with applicable laws and regulations relating to their use of the service; and
• comply with these Terms and any applicable acceptable-use requirements.

Customers are responsible for determining whether Zaxonite IQ is appropriate for their particular use case.

6. Prohibited use

Zaxonite IQ must not be used:

• for unlawful, fraudulent, abusive, discriminatory or harassing purposes;
• to stalk, intimidate or improperly monitor an individual;
• to intentionally process information where the customer does not have a lawful basis or other legal authority to do so;
• to intentionally submit special-category personal data or criminal-offence information into assessment fields not designed for such processing;
• as the sole basis for a significant decision about an individual;
• to misrepresent a Zaxonite IQ result as proof or certification of identity, honesty, legitimacy, suitability or wrongdoing;
• to attempt to gain unauthorised access to the service, another customer's account, infrastructure or data;
• to interfere with, probe, circumvent or disrupt security controls;
• to reverse engineer, reproduce or exploit the service except where such restriction is prohibited by law; or
• to use automated methods to access or place unreasonable load on the service without written authorisation from Zaxonite Systems Ltd.

Zaxonite Systems Ltd may restrict or suspend access where reasonably necessary to protect the service, users, third parties or Zaxonite Systems Ltd from security threats, misuse or material breach of these Terms.

7. Accounts and authorised users

Access to customer functionality requires an authenticated account.

Customers are responsible for maintaining accurate account information and protecting account credentials.

Customers must notify Zaxonite Systems Ltd promptly if they reasonably believe an account or credential has been compromised.

Zaxonite Systems Ltd may disable or restrict an account where reasonably necessary because of suspected compromise, security risk, unlawful use, non-payment or material breach of these Terms.

8. Subscription, pricing and usage allowance

Zaxonite IQ is offered as a paid subscription service.

The current standard subscription price displayed by the service is £179 per month and includes up to 25 assessments during each applicable monthly billing period.

The price and included allowance presented to the customer at checkout form part of the subscription purchased by that customer.

Applicable taxes, where required, will be shown or handled through the payment process.

Zaxonite Systems Ltd may change pricing or subscription offerings for future billing periods. Customers will be given appropriate notice where a change affects an existing subscription and where notice is required by applicable law.

9. Billing and payment

Subscription billing and payment management are provided through Stripe.

Customers must provide valid payment information to Stripe and keep their billing information current.

Zaxonite Systems Ltd does not need to collect or store customers' full payment-card details within the Zaxonite IQ application.

Failure of payment may result in restriction or suspension of paid service access.

10. Renewal and cancellation

Unless otherwise stated at checkout, subscriptions operate on a monthly recurring basis.

Customers may cancel their subscription through the available billing-management functionality or by contacting Zaxonite Systems Ltd.

Cancellation stops future renewal of the subscription. Unless otherwise required by applicable law or expressly agreed, cancellation does not retrospectively refund charges for a billing period in which access to the service has already been provided.

Access may continue until the end of the paid billing period, subject to these Terms.

Nothing in this section limits any refund, cancellation or other right that cannot lawfully be excluded.

11. Assessment usage

The subscription includes the assessment allowance stated at checkout or within the customer's account.

An assessment may count towards the applicable allowance when the service processes the submitted assessment request.

Unused assessment allowances do not carry forward to a later billing period unless Zaxonite Systems Ltd expressly states otherwise.

Customers must not attempt to circumvent assessment limits or usage controls.

12. Availability and changes to the service

Zaxonite Systems Ltd aims to operate Zaxonite IQ reliably but does not promise uninterrupted or error-free availability.

The service may occasionally be unavailable because of maintenance, updates, security work, infrastructure issues or circumstances outside Zaxonite Systems Ltd's reasonable control.

Zaxonite Systems Ltd may modify, maintain or improve the service from time to time.

Where a material change would substantially reduce paid functionality during an existing billing period, Zaxonite Systems Ltd will take reasonable steps to communicate the change where appropriate.

13. External information and services

Some Zaxonite IQ functions depend on information or services supplied by third parties or public infrastructure.

These may include public GitHub information, public websites and domains, DNS infrastructure, public domain-registration infrastructure, hosting infrastructure and payment services.

Zaxonite Systems Ltd does not control the availability, completeness or accuracy of third-party or public information sources.

Failure or unavailability of an external source may affect an assessment without necessarily indicating anything adverse about the person being assessed.

14. Reports and customer records

Generated Zaxonite IQ assessment reports are privacy-minimised and are temporarily available through the application for a maximum of 30 minutes. Zaxonite Systems Ltd does not maintain them as a permanent customer report archive.

Customers are responsible for any report they choose to download, retain, share or use after downloading it, including determining an appropriate retention period and maintaining appropriate security.

Account, authentication, billing and usage information required to operate the customer service is handled separately in accordance with the Privacy Policy.

15. Data protection

Each party is responsible for complying with the data-protection obligations applicable to its own activities.

For customer-initiated Zaxonite IQ assessments, the customer will generally determine why the assessment is undertaken and how its results are used.

Customers are responsible for ensuring that their use of Zaxonite IQ has an appropriate lawful basis and that applicable transparency, fairness and individual-rights requirements are met.

Zaxonite Systems Ltd also processes personal information for purposes it determines itself, including service administration, security, support, commercial administration and legal compliance.

Where separate customer data-processing terms apply to the service, those terms also form part of the contractual arrangements between Zaxonite Systems Ltd and the customer.

16. Intellectual property

Zaxonite IQ, including its software, platform design, assessment methodology, scoring systems, reports, branding, documentation and other proprietary materials, is owned by or licensed to Zaxonite Systems Ltd and is protected by applicable intellectual-property law.

Subject to these Terms and payment of applicable subscription charges, customers receive a limited, non-exclusive, non-transferable right to access and use Zaxonite IQ for their internal lawful business purposes during their subscription.

Customers retain their rights in information they lawfully submit to the service.

No ownership of Zaxonite IQ or its underlying intellectual property is transferred to the customer.

17. Confidentiality

Each party should take reasonable steps to protect confidential information received from the other party and should not disclose it except where necessary to provide or receive the service, where authorised, or where disclosure is required by law.

This section does not apply to information that is already lawfully public, was lawfully known without confidentiality restrictions, or is independently obtained without breach of a confidentiality obligation.

18. Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to rights and liabilities that cannot lawfully be excluded, Zaxonite Systems Ltd is not responsible for decisions made by customers solely because they used or relied upon an assessment without appropriate human review.

Zaxonite Systems Ltd is not responsible for inaccuracies originating from information supplied by customers, assessed persons, public sources or third-party services where Zaxonite Systems Ltd has exercised reasonable care in providing the service.

Neither party will be liable to the other for indirect or consequential loss to the extent that such liability may lawfully be excluded.

Nothing in these Terms removes obligations that applicable law does not permit the parties to exclude or restrict.

19. Suspension and termination

A customer may end its subscription in accordance with the cancellation provisions above.

Zaxonite Systems Ltd may suspend or terminate access where reasonably necessary because of:

• material or repeated breach of these Terms;
• unlawful or abusive use;
• a material security threat or compromised account;
• attempts to circumvent security or usage controls;
• non-payment; or
• a legal or regulatory requirement.

Where reasonably practicable, Zaxonite Systems Ltd will provide notice and an opportunity to remedy a remediable breach before terminating access. Immediate action may be taken where necessary to address serious security, legal or misuse risks.

Termination does not affect rights or obligations that arose before termination.

20. Changes to these Terms

Zaxonite Systems Ltd may update these Terms where reasonably necessary to reflect changes to the service, law, security requirements or business operations.

Where a material change affects an existing paid subscription, reasonable notice will be provided where appropriate.

The current version will be published on this page with its latest revision date.

21. Governing law

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory rights or jurisdictional protections that apply and cannot lawfully be excluded.
